These Terms of Use (the “Terms”) govern your access to and use of the Truckbud platform to book large item delivery services. They form a binding legal agreement between you and Trualr Technologies Inc. carrying on business as Truckbud (“Truckbud,” “we,” “us,” or “our”).
Please Read Carefully Before Using the Platform
By submitting a booking, creating an account, or otherwise using the Truckbud platform (the “Platform”), you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, including the Limitation of Liability provisions in Section 8 and the Dispute Resolution provisions in Section 10. If you do not agree to these Terms, do not use the Platform.
1. Nature of the Platform
1.1 Truckbud is a Technology Marketplace
Truckbud is a technology platform that connects customers who need large items delivered with independent local drivers who provide delivery services. Truckbud does not provide delivery services, does not employ drivers, does not dispatch vehicles, and does not take possession of items at any point during a delivery. Truckbud is a marketplace and technology intermediary only.
Drivers who access the Platform are independent contractors operating their own businesses. They set their own availability, operate their own vehicles, hold their own insurance, and are solely responsible for the manner in which they perform deliveries. Truckbud is not responsible or liable for any act, omission, negligence, misconduct, or default of any driver.
Truckbud establishes onboarding standards and platform conduct guidelines that drivers must agree to as a condition of platform access. These standards describe what Truckbud requires of drivers — they do not create any agency, employment, partnership, or joint venture between Truckbud and any driver, and they do not make Truckbud a party to the delivery arrangement between you and your driver.
1.2 Your Acknowledgment
By using the Platform, you expressly acknowledge and agree that:
- Truckbud drivers are independent contractors, not employees, agents, or representatives of Truckbud;
- Truckbud is not a party to the delivery contract between you and any driver;
- Truckbud is not a carrier, freight forwarder, or logistics provider under any applicable law;
- You are booking the services of an independent contractor, and you assume the risks inherent in doing so;
- Truckbud does not guarantee the conduct, performance, quality, or safety of any driver beyond requiring agreement to platform standards as a condition of access; and
- Your use of the Platform is at your own risk, subject to these Terms.
1.3 No Guarantee of Availability
Truckbud does not guarantee driver availability for any particular date, time window, or geographic area. Availability reflects real-time driver capacity and may change without notice. Truckbud is not liable for inability to complete a delivery due to circumstances outside its reasonable control, including weather events, road conditions, driver unavailability, or platform outages.
2. Booking Process
2.1 Your Booking
When you submit a booking through the Platform, you are requesting a delivery from an independent driver. By submitting a booking you represent, warrant, and confirm that:
- All information you have provided — including pickup and drop-off addresses, item descriptions, dimensions, weights, and access conditions — is accurate, complete, and not misleading;
- You are at least 18 years of age;
- You have the legal right to possess and arrange transport of the items specified;
- The items do not include any prohibited or hazardous materials;
- Someone authorised by you will be available at the drop-off address to receive the delivery; and
- You have read and agree to these Terms, including the Limitation of Liability in Section 8.
2.2 Booking Confirmation
Your booking is confirmed when you receive a confirmation message from Truckbud. The confirmed price shown at the time of booking is the price you will pay. Truckbud will not charge you any additional amount without notifying you and obtaining your agreement first.
2.3 Accurate Information
You are solely responsible for the accuracy of the information you provide. Inaccurate descriptions of item size, weight, access conditions, or any other material information may affect the driver’s ability to complete the delivery and may result in additional charges, cancellation, or refusal to proceed. Truckbud accepts no liability for failed or incomplete deliveries attributable to inaccurate customer information.
2.4 Item Value Declaration
Where prompted during the booking flow, you may declare the approximate value of the item(s) being transported. Your declared value directly affects the limit of any claim available to you under the Delivery Standard & Item Care Policy. For items valued over CAD $1,000, Truckbud strongly recommends you obtain independent transit or personal property insurance before booking.
3. Pricing and Payment
3.1 Pricing
The price displayed at the time of booking is calculated based on your pickup and drop-off addresses, distance, the items selected, any service add-ons, and applicable taxes. The price you see before confirming is the price you pay. “Inside delivery” means placement of items into the room of your choice on any floor of the drop-off address. “Stair carry” means manual carry of items up or down stairs where elevator access is unavailable or impractical. Both add-ons must be selected and paid for at the time of booking.
3.2 Payment Timing
Payment is collected when your driver arrives at the pickup address and your items are loaded and ready for transport. You are not charged at the time of booking. If a pickup cannot be completed for any reason, no payment is collected.
3.3 Accepted Payment Methods
Payment is processed digitally. Accepted methods include debit card, credit card (Visa, Mastercard), and Interac e-transfer. Cash is not accepted.
4. Customer Obligations
4.1 Receiving Your Delivery
You or an authorised representative must be available at the drop-off address to receive the delivery, particularly if inside delivery has been selected. If no one is available when your driver arrives, the driver may not be able to complete the delivery and you may be responsible for applicable charges. Truckbud accepts no liability for failed deliveries resulting from the absence of an authorised recipient.
4.2 Item Preparation and Eligibility
You are responsible for ensuring that items submitted for delivery are accurately described, safely prepared and packaged for transport, and free from any prohibited or hazardous materials. Drivers are not required to accept items that differ materially from the booking description, are unsafe to transport, or that contain prohibited materials. Truckbud accepts no liability for damage arising from improperly prepared, packaged, or described items.
4.3 Prohibited Items
The following items may not be transported through the Platform under any circumstances:
- Illegal items or controlled substances of any kind;
- Hazardous, flammable, explosive, radioactive, or corrosive materials;
- Live animals or organisms;
- Items requiring a regulated transport permit;
- Human remains or biological materials; and
- Any item that is unsafe to transport in the vehicle types available on the Platform.
Booking transport of prohibited items may result in immediate cancellation, removal from the Platform, and you may be solely liable for any resulting damages, costs, or regulatory penalties.
4.4 Access Conditions
You are responsible for ensuring that access conditions at both the pickup and drop-off locations are accurately described in your booking. If conditions differ materially from the booking description, the driver may decline to complete the delivery as scoped. Truckbud is not liable for additional charges, delays, or failed deliveries resulting from inaccurate access information.
5. Cancellation and Changes
5.1 Cancellation Before Dispatch
You may cancel your booking before your driver has been dispatched at no charge. Contact support@truckbud.ca with your booking reference number as soon as possible.
5.2 Cancellation After Dispatch
Once your driver has been dispatched and is en route to the pickup address, a cancellation fee of up to CAD $50 may apply to compensate the driver for time and fuel. The fee depends on how far the driver has travelled toward the pickup. Contact support immediately if your situation changes.
5.3 Changes to Your Booking
Contact support@truckbud.ca with your booking reference number as soon as possible if you need to make changes. We will accommodate changes where possible depending on where your driver is in the process. Material changes may result in a price adjustment.
6. Platform Standards and Item Concerns
Truckbud requires all drivers to meet defined onboarding and conduct standards as a condition of platform access. These standards are described in the Delivery Standard & Item Care Policy, which forms part of these Terms.
If you believe a driver failed to meet the platform standard, you must report it to support@truckbud.ca within 48 hours of delivery completion, in accordance with the Delivery Standard & Item Care Policy. Reports submitted after 48 hours are void and will not be reviewed or actioned under any circumstances.
Truckbud’s review of any report is for internal quality purposes only. It does not constitute an admission of liability by Truckbud, Trualr Technologies Inc., or any driver for any loss, damage, or claim.
7. Tracking and Communication
After you confirm your booking, you will receive SMS updates to the phone number you provided at booking: booking confirmed, driver matched, driver on the way to pickup, items picked up and heading to you, and delivery complete. Real-time tracking requires no additional app or download.
8. Limitation of Liability
This section contains important limitations on Truckbud’s liability. Please read it carefully.
8.1 Platform Provided As Is
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TRUCKBUD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.
8.2 No Liability for Driver Conduct
Truckbud is not responsible or liable for any act, omission, negligence, misconduct, loss, damage, injury, or expense caused by or arising from the conduct of any driver. Drivers are independent contractors; Truckbud is not their employer, principal, or agent. Any dispute regarding the physical performance of a delivery is between you and the driver.
8.3 General Liability Cap
To the maximum extent permitted by applicable law, Truckbud’s total aggregate liability to you for any and all claims arising from or related to your use of the Platform — regardless of the legal basis of the claim — shall not exceed the greater of: (a) the total charges you have paid through the Platform in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) CAD $500.
8.4 Item Damage Liability Cap
Where Truckbud elects, at its sole discretion, to offer a goodwill resolution under the Delivery Standard & Item Care Policy, such resolution shall not exceed the lesser of: (a) your declared item value as provided at the time of booking; or (b) the documented replacement cost of the item; up to a maximum of CAD $1,000 per booking in any event. If you did not declare an item value at booking, Truckbud’s maximum discretionary goodwill resolution is CAD $1,000. Any such resolution does not constitute an admission of liability and is subject to the conditions set out in the Delivery Standard & Item Care Policy.
8.5 Exclusion of Indirect Damages
To the maximum extent permitted by applicable law, Truckbud shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind — including lost profits, loss of data, loss of use, business interruption, or cost of substitute services — arising out of or related to your use of the Platform or any delivery arranged through it, even if Truckbud has been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.
8.6 Preserved Liability
Nothing in this Section limits Truckbud’s liability for death or personal injury caused directly by Truckbud’s own gross negligence or wilful misconduct, or for any liability that cannot be excluded or limited under applicable Canadian law.
8.7 Customer Indemnification
You agree to indemnify, defend, and hold harmless Trualr Technologies Inc. (dba Truckbud), its directors, officers, employees, contractors, drivers, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) any misrepresentation you have made regarding items, access conditions, or any other booking information; (c) your violation of any applicable law; (d) any booking of prohibited items; (e) your failure to ensure items were adequately prepared for transport; or (f) any third-party claim arising from your conduct or your items.
9. Data and Privacy
Your use of the Platform is subject to Truckbud’s Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the Platform you consent to those data practices.
When a driver is matched to your booking, we share with the driver only the information necessary to complete your delivery: your first name, pickup and drop-off addresses, item descriptions, and any access instructions you have provided. Your phone number is not shared directly with the driver.
We do not sell your personal information to third parties.
10. Dispute Resolution
10.1 Mandatory Informal Resolution
Before initiating any legal proceeding of any kind against Truckbud, you must first contact us at support@truckbud.ca and attempt to resolve the dispute informally. Truckbud will make reasonable efforts to respond within 14 business days. You may not commence any legal proceeding until 30 calendar days have elapsed from the date of your written notice to us, or until the informal process has been exhausted, whichever occurs first. Failure to follow this process is grounds for dismissal of the proceeding.
10.2 Governing Law
These Terms are governed by the laws of the Province of Manitoba and the applicable federal laws of Canada, without regard to conflict of laws principles. Any dispute that cannot be resolved informally will be resolved exclusively before the courts of Manitoba. You irrevocably submit to the jurisdiction of those courts.
10.3 Individual Claims Only
To the extent permitted by applicable law, any claim you bring against Truckbud must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action. You waive any right to bring or participate in a class action against Truckbud to the fullest extent permitted by Manitoba law.
11. General Provisions
11.1 Amendment
Truckbud may amend these Terms at any time. Material changes will be communicated at least 30 days before the effective date by email or through the Platform. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree with a material change, you must stop using the Platform before the effective date.
11.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
11.3 No Waiver
Truckbud’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or of Truckbud’s right to enforce it in the future.
11.4 Entire Agreement
These Terms, together with the Privacy Policy and the Delivery Standard & Item Care Policy, constitute the entire agreement between you and Truckbud with respect to your use of the Platform and supersede all prior representations, agreements, or understandings.
