Truckbud Driver Terms of Service

These Driver Terms of Service govern your access to and use of the Truckbud platform as a Driver. They form a binding legal agreement between you and Trualr Technologies Inc. carrying on business as Truckbud ("Truckbud," "we," "us," or "our"). References to "Truckbud" include Trualr Technologies Inc. and all affiliated entities operating under the Truckbud brand.

By submitting a driver application, creating a driver account, or performing any delivery arranged through the Truckbud platform (the "Platform"), you confirm that you have read, understood, and agree to be bound by these Driver Terms. If you do not agree, you may not use the Platform as a Driver.

These Driver Terms, together with the Privacy Policy, constitute the binding agreement governing your access to and use of the Platform as a Driver. Where there is a conflict between these Driver Terms and any other Truckbud policy in relation to your activities as a Driver, these Driver Terms govern.

Nature of the Platform and the Relationship

Platform Only

Truckbud operates a technology platform that connects customers who need large items delivered ("Customers") with independent drivers who provide delivery services ("Drivers"). Truckbud does not provide delivery, transportation, or moving services. Truckbud does not employ drivers, dispatch vehicles, or take possession of items at any point. The Platform is a marketplace and technology intermediary only.

Independent Contractor Status

You operate as an independent contractor. Nothing in these Driver Terms creates or implies an employment, joint venture, partnership, or agency relationship between you and Truckbud. This independent contractor status is not modified by the frequency of your use of the Platform, the number of jobs you complete, or any operational guidelines Truckbud provides.

As an independent contractor, you are solely responsible for:

  • determining when, where, and whether to make yourself available for deliveries through the Platform;
  • providing, maintaining, insuring, and operating your own vehicle and equipment;
  • setting your own schedule and accepting or declining jobs at your discretion;
  • complying with all applicable laws including licensing, vehicle registration, insurance, tax obligations, and any other legal requirements applicable to your activities; and
  • all costs associated with operating your vehicle including fuel, maintenance, insurance, and repairs.

You are not entitled to any employment benefits from Truckbud including vacation pay, statutory holiday pay, overtime, workers' compensation, employment insurance, or pension contributions. Truckbud does not withhold income tax, Canada Pension Plan contributions, or Employment Insurance premiums on your behalf.

No Guaranteed Work

Truckbud does not guarantee the availability of delivery jobs, minimum earnings, or consistent volume of work through the Platform. Availability depends on Customer demand and other factors outside Truckbud's control.

Eligibility, Representations, and Ongoing Obligations

Eligibility Requirements

To apply and maintain active status as a Driver on the Platform you must at all times:

  • be at least 18 years of age;
  • hold a valid driver's licence issued by the province or territory in which you operate, with no suspensions or disqualifying conditions;
  • own or have lawful authority to operate a pickup truck or cargo van manufactured in 2005 or later that meets the vehicle standards in section 2.3;
  • maintain a valid vehicle insurance policy with a business use endorsement covering delivery activities, as further described in section 2.4;
  • be legally authorized to work in Canada under applicable immigration and employment law;
  • have no more than two at-fault incidents or convictions on your driving record in the preceding three years; and
  • meet any additional eligibility criteria communicated by Truckbud from time to time, including satisfactory completion of any required background check.

Representations and Warranties

By applying to and operating on the Platform you represent and warrant that all information you have provided to Truckbud is accurate, complete, and not misleading; you meet all eligibility requirements and will continue to meet them; you have the legal right to enter into this agreement; and your performance of delivery services does not violate any other agreement to which you are a party.

You are required to notify Truckbud immediately if your eligibility status changes at any point — including a licence suspension, insurance lapse, change in work authorization status, or a new at-fault incident. Providing false or misleading information at any point is grounds for immediate removal from the Platform without notice.

Vehicle Standards

Your vehicle must meet the following minimum standards at all times while you are active on the Platform:

  • Pickup truck or cargo van, 2005 model year or newer.
  • Roadworthy and mechanically sound, no warning lights affecting operational safety, functional brakes, working lights, and no significant structural damage.
  • Clean cargo area free from debris, staining, chemical residue, or any contamination that could damage Customer items.
  • Valid provincial registration.
  • Insured with a business use endorsement covering delivery activities, as required by section 2.4.

Truckbud reserves the right to request proof of vehicle condition, registration, or insurance at any time and may require photo submissions or vehicle inspection as part of onboarding or at any time during active use of the Platform.

Insurance

You must maintain valid vehicle insurance that includes a business use endorsement covering delivery activities at all times while you are active on the Platform. A standard personal automobile insurance policy in Canada may not extend coverage to delivery activities. A business use endorsement — sometimes referred to as a business use rider or SEF 6A endorsement depending on your province — is a cost-effective addition to your existing personal policy that extends coverage to include business use delivery. Driving without this endorsement during a delivery may render you uninsured for any claim arising during that delivery.

It is your sole responsibility to confirm with your insurer that your policy includes a business use endorsement covering delivery activities before accepting your first job, and to maintain that coverage continuously. Truckbud does not provide insurance coverage for you, your vehicle, items in your possession, or any third party affected by your activities.

Truckbud may require updated proof of insurance at any time, and at minimum every twelve months. If Truckbud determines at any time that your insurance does not meet the requirements of this section, your account will be suspended immediately until compliant proof of insurance is provided.

Background Check Consent

As a condition of driver onboarding, you consent to Truckbud conducting a criminal background check and driving record review through a third-party provider. You acknowledge that background check results are subject to the third-party provider's own terms and privacy practices; Truckbud may conduct periodic background checks during your active use of the Platform with reasonable advance notice; and a background check result that raises safety concerns may result in your application being declined or your account being deactivated. You have the right to request access to the results of any background check conducted in connection with your Truckbud application or account. To request access or to dispute the accuracy of any background check information, contact support@truckbud.ca.

Platform Quality Guidelines

Truckbud does not control the manner, method, or means by which you perform deliveries. However, to maintain active standing on the Platform and to protect the quality and safety of the Truckbud marketplace, you agree to the following quality guidelines while performing deliveries arranged through the Platform:

  • Operate your vehicle safely and in compliance with all applicable traffic laws at all times.
  • Arrive at pickup addresses within the agreed time window or at the confirmed specific time. If you are running late, notify Truckbud support immediately.
  • Handle all Customer items with reasonable care throughout loading, transport, and delivery.
  • Maintain professional, respectful conduct with Customers, sellers, and any other individuals encountered in the course of a delivery.
  • Keep Truckbud support informed of your status throughout each job including pickup confirmation, departure, estimated arrival, and delivery completion.
  • If you wish to engage a helper or substitute to assist with a delivery, you must notify Truckbud support in advance and ensure that person meets the eligibility and insurance requirements in sections 2.1 and 2.4. You remain responsible for the delivery.
  • Not transport illegal, prohibited, or hazardous materials under any circumstances.

Nothing in these quality guidelines prevents you from providing delivery services through other platforms, operating your own delivery business, or engaging helpers on any job, provided you comply with the eligibility and insurance requirements in sections 2.1 and 2.4.

Item Care and Damage Responsibility

You are responsible for handling Customer items with reasonable care during loading, transport, and delivery. If an item is damaged during a delivery due to your handling, you are responsible for working with Truckbud and the Customer to resolve the situation. You agree to cooperate with any damage investigation, including providing photographs and a written account of the circumstances.

Truckbud may, in its discretion, process a damage adjustment through your account to compensate a Customer for item damage attributable to driver handling. Any such adjustment will be communicated to you before it is processed and will not exceed the replacement value of the damaged item as reasonably determined by Truckbud.

Use of the Platform

Driver Account

You must create and maintain a driver account to access delivery opportunities. You agree to keep your account information accurate and up to date, including your contact details, vehicle information, and payout details. You are responsible for the security of your account credentials.

Accepting and Completing Jobs

You are free to accept or decline any delivery opportunity offered through the Platform without consequence. Accepting a job constitutes your agreement to complete that delivery in a timely and professional manner in accordance with these Driver Terms.

Cancellations

If you are unable to complete a job you have accepted, you must notify Truckbud support as soon as possible. Cancellations after a job has been accepted are noted on your account as part of the Platform's quality tracking. Occasional cancellations due to genuine unforeseen circumstances will not affect your standing. A pattern of cancellations without reasonable explanation may result in reduced visibility to delivery opportunities or, in persistent cases, a review of your account status.

Non-Solicitation

During the term of this agreement and for a period of six months following your removal or departure from the Platform, you agree not to directly solicit any Customer you first encountered through the Truckbud Platform for the purpose of providing delivery services outside the Platform within the geographic areas in which Truckbud operates at the time of your departure. This restriction does not prevent you from working in the delivery industry generally or for other platforms, and does not restrict you from accepting business that a Customer initiates with you independently — it applies only to active solicitation of Customers you connected with through Truckbud.

Fees, Payments, and Taxes

Driver Earnings

A delivery is considered completed when you mark it as complete in the Truckbud app, confirming that the items have been delivered to the drop-off address. For each completed delivery, you will be entitled to the driver portion of the applicable charges as communicated through the Platform, less Truckbud's platform fee. Your net earnings for any job will be communicated to you before you accept the job.

Payment Collection Agent

Truckbud acts as your limited payment collection agent for the purpose of receiving payment from Customers and remitting your earnings. Payment received by Truckbud from a Customer in respect of a completed delivery is deemed payment to you for that delivery. This arrangement does not create an employment relationship.

Payment Timing and Method

Driver earnings are paid out weekly. Payouts are processed each week for deliveries completed in the preceding week, and typically arrive in your account within 2–3 business days depending on your financial institution. Payouts are made by direct deposit to the bank account you provide during onboarding. You are responsible for providing accurate and current payout details. Truckbud is not responsible for payment delays caused by incorrect or outdated payout information you provide.

Taxes

You are solely responsible for determining, reporting, and remitting all taxes arising from your earnings through the Platform, including income tax and GST/HST where applicable. If your annual income from all sources exceeds the small supplier threshold under the Excise Tax Act (Canada), you are required to register for and collect GST/HST. Truckbud does not withhold, remit, or advise on taxes unless required by applicable law. Truckbud will provide an annual earnings summary to assist with your tax obligations upon request.

Ratings, Quality, and Account Status

Customer Ratings

Customers may rate and provide feedback on their experience with you following each delivery. These ratings are used to maintain quality and trust on the Platform. Truckbud may use rating data to determine job access and account status.

Deactivation

Truckbud may suspend or deactivate your driver account for reasons including but not limited to: misrepresentation in your application; failure to maintain eligibility requirements; breach of these Driver Terms or applicable law; serious complaints regarding safety, conduct, or service quality; a background check result raising safety concerns; soliciting Customers outside the Platform; repeated cancellations without valid reason; sustained low service quality ratings; or for operational, regulatory, or business reasons.

Where reasonable, Truckbud will provide notice of deactivation. In cases involving safety, legal concerns, or serious misconduct, deactivation may occur immediately without prior notice. As this is an independent contractor relationship, deactivation does not constitute termination of employment and no notice period, severance, or compensation is required upon deactivation.

Review of Deactivation

If your account is deactivated for reasons related to service quality, conduct, or ratings, you may request a review by emailing support@truckbud.ca within 14 days of receiving notice of deactivation. Include your name, the reason given for deactivation, and any information you believe is relevant. Truckbud will review your request and communicate its decision within 14 business days. Deactivation remains in effect during the review period. Deactivations for misrepresentation, eligibility failure, legal violations, or serious misconduct are not subject to review.

Data, Privacy, and Communications

Your use of the Platform is subject to Truckbud's Driver Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the Platform you consent to the data practices described in the Privacy Policy.

You expressly consent to Truckbud sharing your first name, vehicle make and model, and estimated arrival information with Customers for the purpose of completing deliveries you have accepted. This sharing is limited to what is reasonably necessary to facilitate the delivery.

By using the Platform as a Driver you consent to receive operational and transactional communications from Truckbud via SMS, phone, email, or in-app notifications. Operational communications — including job notifications, safety alerts, and platform updates — are required for use of the Platform and cannot be opted out of while you maintain an active driver account.

Intellectual Property

All intellectual property in the Platform, including the Truckbud name, logo, software, and content belongs to Truckbud or its licensors. Your use of the Platform does not grant you any ownership interest or licence beyond the limited right to use the Platform for the purpose of providing delivery services as contemplated by these Driver Terms. You may not reproduce, distribute, or create derivative works from any Truckbud intellectual property.

Disclaimers, Limitation of Liability, and Indemnity

Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Truckbud disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Truckbud does not warrant that the Platform will be uninterrupted, error-free, or that any particular volume of jobs or level of earnings will be available to you.

Limitation of Liability

To the maximum extent permitted by applicable law, Truckbud and its affiliates, officers, directors, employees, agents, and licensors shall not be liable to you for any indirect, incidental, special, exemplary, punitive, or consequential damages — including lost income, lost profits, or loss of data — arising out of or related to your use of or inability to use the Platform.

In no event shall Truckbud's total aggregate liability to you exceed the greater of: (a) the total driver earnings paid to you through the Platform in the twelve months immediately preceding the event giving rise to the claim; or (b) CAD $5,000. Nothing in this section limits liability for death or personal injury caused by gross negligence or wilful misconduct.

Indemnity

You agree to indemnify, defend, and hold harmless Trualr Technologies Inc. (dba Truckbud), its affiliates, officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising out of or relating to: your use of or access to the Platform; your performance of or failure to perform delivery services; any breach by you of these Driver Terms or any applicable law; any third-party claim arising from your conduct, negligence, or misrepresentation; your vehicle, its operation, or any accident, damage, or loss occurring in the course of a delivery; or any inaccuracy in information you provided to Truckbud.

Truckbud Indemnity

Truckbud will indemnify, defend, and hold you harmless from and against third-party claims, damages, and reasonable legal fees arising directly from: (a) a material defect in the Platform that causes you direct harm; or (b) Truckbud's gross negligence or wilful misconduct. This indemnity does not apply to any claim arising from your own conduct, negligence, or breach of these Driver Terms.

Dispute Resolution

Informal Resolution

Before initiating any formal proceeding, you agree to first contact Truckbud at support@truckbud.ca and attempt to resolve the dispute informally. Truckbud will make reasonable efforts to resolve the issue within 30 days of receiving your notice.

Governing Law and Jurisdiction

These Driver Terms are governed by the laws of the Province of Manitoba and the applicable federal laws of Canada. Subject to the informal resolution process above, you agree to submit to the exclusive jurisdiction of the courts of Manitoba for resolution of any dispute arising from or relating to these Driver Terms.

General Provisions

Entire Agreement

These Driver Terms, together with the Privacy Policy and any rate schedule or onboarding documentation provided to you, constitute the entire agreement between you and Truckbud with respect to your use of the Platform as a Driver.

Amendment

Truckbud may amend these Driver Terms from time to time. Where the amendment is material, Truckbud will provide reasonable advance notice. Your continued use of the Platform after the effective date of any amendment constitutes acceptance of the updated Driver Terms.

Assignment

You may not assign or transfer any of your rights or obligations under these Driver Terms without Truckbud's prior written consent. Truckbud may assign these Driver Terms in connection with a merger, acquisition, or sale of assets without your consent.

Severability

If any provision of these Driver Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Truckbud's failure to enforce any provision of these Driver Terms at any time does not constitute a waiver of that provision or of Truckbud's right to enforce it in the future.

Language

The parties have agreed that these Driver Terms and all related documents be drafted in the English language.
